EN GENERAL TERMS AND CONDITIONS of Follow Your Heartbeat (Marie Genicot) ARTICLE 1. DEFINITIONS In these general terms and conditions and the agreements to which they have been declared applicable, the following terms have the following meanings: Follow Your Heartbeat: Marie Genicot, trading under the name Follow Your Heartbeat, located at Lange Klarenstraat 12 in 2000 Antwerp and with company number 0795.746.824. Participant: The adult (legal) person who registers with Follow Your Heartbeat (Marie Genicot) for a Wim Hof Method activity or coaching session or receives an offer for it. Partner: The adult (legal) person who enters into a professional collaboration with Follow Your Heartbeat (Marie Genicot). Terms and Conditions: These terms and conditions. Activity: An education, training, coaching, course, lecture, theme day, workshop or any form of training provided by Follow Your Heartbeat (Marie Genicot). All these activities have a coaching objective. Follow Your Heartbeat (Marie Genicot) does not provide medical advice. The information shared is general in nature. It is not intended as medical advice or as a substitute for seeking medical advice. The Participant is encouraged to discuss any information about any medical condition or treatment with his/her doctor. Never ignore professional medical advice and never delay seeking medical attention because of something you would have heard during the Activity. Course material: Training lesson or instructional material, documentation, teaching material, or any other (electronic) material in any form whatsoever, which is used as part of the Activity. Registration fee: The total amount of the Activity that a Participant pays. ARTICLE 2. APPLICABILITY 1) These general terms and conditions apply to all offers and services of Follow Your Heartbeat (Marie Genicot). These general terms and conditions are also part of all agreements with the Participant. 2) Deviating terms and conditions only apply insofar as they have been expressly accepted in writing by Follow Your Heartbeat (Marie Genicot) and only apply to the relevant agreement(s). 3) Changes to and additions to any provision of the general terms and conditions in the agreement are only valid if they have been recorded in writing (including any form of electronic communication (such as e-mail) and signed by both parties). 4) The agreement, including all applicable conditions, reflects the full content of the rights and obligations of the parties and takes place of all prior written and oral agreements, statements and/or statements of the parties. ARTICLE 3. OFFERS 1) Follow Your Heartbeat (Marie Genicot) issues offers for Activities in writing or electronically. 2) The offer contains a complete and accurate description of the Activity for which the Participant or Partner wishes to register. The offer also indicates which costs, including additional costs and taxes, are associated with this. The offer also states the method of payment, delivery and execution of the agreement. 3) Offers have a limited validity of 14 working days, unless otherwise indicated in writing. If an offer is not accepted within this period, Follow Your Heartbeat (Marie Genicot) is entitled to change the conditions and the price mentioned in the offer. If an offer is accepted by the Participant or Partner, an agreement is concluded between the Participant or Partner and Follow Your Heartbeat (Marie Genicot) as stipulated in article 4 of these general terms and conditions. ARTICLE 4. ESTABLISHMENT OF THE AGREEMENT 1) The Participant enters into an Agreement with Follow Your Heartbeat (Marie Genicot) by registering for an Activity. Registration for an Activity takes place (i) via the registration form on the website of Follow Your Heartbeat (www.followyourheartbeat.be) or Wim Hof Method (www.wimhofmethod.com), (ii) by telephone, (iii) by e-mail or (iv) via the Registration form of the Partner. 2) By registering, the Participant accepts the general terms and conditions. 3) The agreement is only concluded by written (including an e-mail message) acceptance by Follow Your Heartbeat (Marie Genicot) or wimhofmethod.com of this registration. This acceptance also counts as proof of registration. 4) The Participant is not entitled to transfer the rights from the agreement to a third party without written permission from Follow Your Heartbeat (Marie Genicot). ARTICLE 5. ID The Participant is obliged to carry a valid proof of identity during the Activity and to show it at the request of Follow Your Heartbeat (Marie Genicot) or her employee(s), if and insofar as regulations require and/or allow this. ARTICLE 6. PAYMENT 1) The payment of the Registration Fee must be made no later than the due date stated on the invoice or, in the absence thereof, at the latest within the period provided for in Article 6.2. 2) Unless the parties have agreed otherwise in writing, the invoices of Follow Your Heartbeat (Marie Genicot) need to be paid no later than fifteen (15) days after the date of the invoice. 3) Unless otherwise stipulated, the invoicing of Follow Your Heartbeat (Marie Genicot) will take place as follows:

Full payment of the Registration Fee will be made no later than 10 working days before the day of commencement of the Activity.
The Participant must first have paid the Registration Fee fully before he or she is assured of a place.

4) Some Activities require additional materials that are not included in the Registration Fee and that the Participant must purchase/bring himself. The wimhofmethod.com website states whether additional materials are needed or not. The Participant declares to have been sufficiently informed about the total price of the training, including any additional material costs or consumption fees. ARTICLE 7. LATE PAYMENT 1) If the Participant or Partner does not comply with the agreed payment term (see article 6.1), the Participant or Partner is in default by operation of law, without any notice of default being necessary. 2) From the moment the Participant or Partner is in default, until the day of full payment, the Participant or Partner owes default interest of 1% on the amount due per month or part thereof, without prejudice to the right of Follow Your Heartbeat (Marie Genicot) to full compensation based on the law. 3) All judicial as well as extrajudicial costs of recovery of the amount owed by the Participant or Partner shall be borne by the Participant or Partner. This includes the costs of attachment, bankruptcy applications, collection costs, as well as the costs of lawyers, bailiffs and other experts to be engaged by Follow Your Heartbeat (Marie Genicot). These collection costs amount to a maximum of: 15% on outstanding amounts up to € 2,500, =; 10% on the next € 2.500,= and 5% on the next € 5.000,= with a minimum of € 40,=. ARTICLE 8. PRICES All prices include VAT. Prices are subject to change periodically. Discounts cannot be combined. Refunds of discounts are not possible. ARTICLE 9. CANCELLATION AND MODIFICATION 1) In case of cancellation less than one month before the start of the Activity, the Participant owes 20% of the agreed price; 2) In case of cancellation less than 48 hours before the start of the Activity, the Participant owes the full, agreed price. 3) The Participant must notify the cancellation of the Activity in writing by e-mail. In the first instance, Follow Your Heartbeat will attempt to assign the Participant to the same Activity that takes place at a later date. If that is not possible, the arrangements set out in this Article shall apply. 4) If the number of registrations for a certain Activity does not reach the minimum of 11 Participants, Follow Your Heartbeat is entitled to cancel it (in whole or in part) prior to the start of the relevant Activity or to postpone it to another time or location. In that case, Follow Your Heartbeat is free to agree with the Participant that the relevant Activity will be set up on a different date, location and/or time. In the event of cancellation, Follow Your Heartbeat will refund the amount already paid by the Participant for the canceled Activity, but Follow Your Heartbeat is not obliged to compensate for any damage or costs incurred by the Participant in connection with that cancellation. 5) If the location of the Activity changes, the Participant is entitled to cancel the Activity at no cost. Follow Your Heartbeat is not obliged to pay compensation for any damage or costs incurred by the Participant in connection with that cancellation. ARTICLE 10. LOCATIONS 1) The Activity takes place in the locations/spaces indicated by Follow Your Heartbeat. Follow Your Heartbeat will inform the Participant about these locations as early as possible before the start of the Activity. 2) During the Activity, the Participant is fully liable for the damage caused by him or her to everything that is in the room. 3) Follow Your Heartbeat can never be held liable for actions taken by Participants outside the Activities. ARTICLE 11. INTELLECTUAL PROPERTY RIGHTS 1) The Participant is not permitted to copy, reproduce, distribute, publish, modify, create derivative works from, transmit or otherwise exploit copyrighted material without the permission of Follow Your Heartbeat. 2) Follow Your Heartbeat (Marie Genicot) retains the copyrights and all intellectual property rights to the offers, designs, materials, images, drawings, diagrams etc. made by her. 3) The rights to the data referred to in the previous paragraph remain the property of Follow Your Heartbeat. This data may not be copied, used or shown to third parties for professional purposes without the prior written permission of Follow Your Heartbeat. The Participant owes Follow Your Heartbeat a fine of € 25,000.00 per violation, without prejudice to Follow Your Heartbeat's right to claim full compensation. ARTICLE 12. ALTERATIONS Follow Your Heartbeat is entitled to change these terms and conditions for valid rules, such as but not limited to: the amendment of a relevant law, a relevant additional tax, or an order to comply with a court order. If Follow Your Heartbeat changes these general terms and conditions for another reason, the Participant will be deemed to have accepted the relevant changes if Follow Your Heartbeat has not received a written protest within 14 days of Follow Your Heartbeat's written notification that the change will take place. Changes will be announced by personal notice and general publication on the Follow Your Heartbeat website. ARTICLE 13. LIABILITY 1) Follow Your Heartbeat is only liable for direct damage, as a result of – to be demonstrated by the Participant – gross or intentional fault of Follow Your Heartbeat in the performance of her obligations arising from the Agreement concluded between the parties. 2) Follow Your Heartbeat is not responsible for injuries, damage, costs, illness or loss of personal belongings resulting from the Participant's participation in an Activity. 3) Follow Your Heartbeat makes every effort to ensure that the services and their potential for results are accurately displayed. Nevertheless, there is no guarantee that the Participant will experience the same results or the results he/she desires, and he/she accepts the possibility that results will vary from person to person. Follow Your Heartbeat makes no guarantee as to the participant's degree of success. The testimonials, descriptions, and examples are not intended to reflect or guarantee similar results. 4) The Participant agrees to respect everyone's boundaries and to be responsible for his/her own boundaries. He/she voluntarily participates in the experience and can take a step back at any time if the situation becomes uncomfortable or overwhelming for him/her. 5) Follow Your Heartbeat is not liable if a Participant does not obey to the (safety) instructions. 6) The liability of Follow Your Heartbeat is in any case limited to a maximum of the Registration Fee paid by the Participant. 7) Follow Your Heartbeat is not liable for damage that has not been communicated by the Participant or Partner in writing within eight days after becoming aware of the cause of the damage. 8) This liability arrangement in the previous paragraphs of this article also applies to third parties that Follow Your Heartbeat engages in the context of the execution of the Activity, as well as to persons for whom Follow Your Heartbeat or such a third party is liable. ARTICLE 14. FORCE MAJEURE 1) If Follow Your Heartbeat is impeded of organizing the Activity by force majeure of a permanent or temporary nature, Follow Your Heartbeat is entitled, without any obligation to pay a compensation, to dissolve or suspend the agreement in its entirety or in part by means of a communication to that effect, without prejudice to Follow Your Heartbeat's right to be paid by the Participant for services already performed by Follow Your Heartbeat, before there was a force majeure situation. Follow Your Heartbeat will inform the Participant of the situation of force majeure as soon as possible. In the event of suspension, Follow Your Heartbeat will still be entitled to dissolve the agreement in its entirety or in part. 2) Force majeure includes all circumstances as a result of which Follow Your Heartbeat is temporarily or permanently unable to meet her obligations, such as the (temporary) absence due to illness and/or foreclosure, epidemy, fire, strike or work exclusion, riot, war, government measures such as; lockdowns, import or export restrictions, supplier defaults, transport problems, natural disasters and furthermore all circumstances in which Follow Your Heartbeat cannot reasonably be expected to fulfill her obligations towards the Participant. ARTICLE 15. DISSOLUTION Follow Your Heartbeat has the right to disband the agreement with the Participant or Partner at any time, with immediate effect, without judicial authorization, without prior notice of default and without payment of any compensation, in the following cases: 1) Partner files for bankruptcy, is declared bankrupt or applies for suspension of payments; or 2) Participant or Partner does not or does not fully comply with any obligations under the law or contractual conditions towards Follow Your Heartbeat; or 3) Participant or Partner or fails to pay an invoice or part thereof within the specified period; or 4) Follow Your Heartbeat has reasonable grounds to doubt that the Participant or Partner will fulfill its obligations towards Follow Your Heartbeat. 5) In the event of dissolution, Follow Your Heartbeat also reserves the right to claim compensation for the costs, interest and damage suffered by Follow Your Heartbeat and all claims of Follow Your Heartbeat against the Participant or Partner become immediately due. 6) If Follow Your Heartbeat fails to fulfill one of her essential obligations, the Participant or Partner has the right to dissolve the agreement without judicial authorisation and without prior notice of default. ARTICLE 16. EXECUTION BY THIRD PARTIES 1) Follow Your Heartbeat is entitled to engage third parties for the execution of the Activity. 2) All clauses concerning the exclusion or limitation of the liability of Follow Your Heartbeat and concerning the indemnification of Follow Your Heartbeat against claims from third parties, are also stipulated for the benefit of those, both employed by Follow Your Heartbeat and third parties for whose acts or omissions Follow Your Heartbeat may be liable. ARTICLE 17. SEVERABILITY 1) If a (part of a) clause of these general terms and conditions is found to be invalid or unenforceable, the remaining parts or clauses will not be affected by this. 2) Each such part or clause shall be replaced by a provision closest to what was sought in the said part or clause. ARTICLE 18. APPLICABLE LAW/COMPETENT COURT 1) All agreements to which these general terms and conditions apply are exclusively governed by Belgian law. 2) All disputes arising from or related to an agreement will initially be submitted exclusively to the competent court in the district of Antwerp, without prejudice to the right of Follow Your Heartbeat to submit a dispute to the competent court within the territory in which the Participant or Partner is established or resident. NL ALGEMENE VOORWAARDEN Follow Your Heartbeat (Marie Genicot) ARTIKEL 1. DEFINITIES In de onderhavige algemene voorwaarden en de overeenkomsten waarop zij van toepassing zijn verklaard, hebben onderstaande begrippen de volgende betekenis: Follow Your Heartbeat: Marie Genicot, handelend onder de naam Follow Your Heartbeat, gevestigd in de Lange Klarenstraat 12 te 2000 Antwerpen en met als ondernemingsnummer 0795.746.824. Deelnemer: De meerderjarige (rechts)persoon die zich bij Follow Your Heartbeat (Marie Genicot) inschrijft voor een Wim Hof Method activiteit of coachingsessie of daarvoor een offerte ontvangt. Partner: De meerderjarige (rechts)persoon die een professionele samenwerking met Follow Your Heartbeat (Marie Genicot) aangaat. Algemene Voorwaarden: Deze algemene voorwaarden. Activiteit: Een door Follow Your Heartbeat (Marie Genicot) verzorgde opleiding, training, coaching, cursus, lezing, themadag, workshop of enige vorm van opleiding. Al deze activiteiten hebben een coaching doel voor ogen. Follow Your Heartbeat (Marie Genicot) geeft geen medisch advies. De gedeelde informatie is algemeen van aard. Ze is niet bedoeld als medisch advies of als vervanging voor het inwinnen van medisch advies. De Deelnemer wordt aangemoedigd om alle informatie over een medische aandoening of behandeling te bespreken met zijn/haar arts. Ga professioneel medisch advies nooit uit de weg en stel het zoeken naar medische hulp nooit uit vanwege iets dat u tijdens de Activiteit zou gehoord hebben. Cursusmateriaal: opleidings- les of instructiemateriaal, documentatie, lesmateriaal, of enig ander (elektronisch) materiaal in welke vorm dan ook, dat wordt gebruikt als onderdeel van de Activiteit. Inschrijvingsgeld: Het totale bedrag van de activiteit dat een Deelnemer betaalt. ARTIKEL 2. TOEPASSELIJKHEID 1) Deze algemene voorwaarden zijn van toepassing op alle offertes, aanbiedingen en diensten van Follow Your Heartbeat (Marie Genicot). Deze algemene voorwaarden maken tevens deel uit van alle overeenkomsten met de Deelnemer. 2) Afwijkende voorwaarden gelden uitsluitend voor zover deze uitdrukkelijk schriftelijk door Follow Your Heartbeat (Marie Genicot) zijn aanvaard en gelden alleen voor de desbetreffende overeenkomst(en). 3) Wijzigingen van en aanvullingen op enige bepaling van de algemene voorwaarden in de overeenkomst, zijn slechts geldig indien deze schriftelijk (waaronder ook wordt verstaan iedere vorm van elektronische communicatie (zoals e-mail) zijn vastgelegd en door beide partijen zijn ondertekend). 4) De overeenkomst, inclusief alle daarop van toepassing zijnde voorwaarden, geeft de volledige inhoud weer van de rechten en verplichtingen van partijen en treedt in plaats van alle daaraan voorafgaande schriftelijke en mondelinge afspraken, verklaringen en/of uitlatingen van partijen. ARTIKEL 3. OFFERTES 1) Follow Your Heartbeat (Marie Genicot) brengt offertes voor Activiteiten schriftelijk dan wel elektronisch uit. 2) De offerte bevat een volledige en nauwkeurige omschrijving van de Activiteit waarvoor de Deelnemer of Partner zich wil opgeven. De offerte geeft tevens welke kosten, inclusief bijkomende kosten en belastingen, daaraan verbonden zijn. De offerte vermeldt ook de wijze van betaling, aflevering en uitvoering van de overeenkomst. 3) De offertes hebben een beperkte geldigheidsduur van 14 werkdagen, tenzij anders schriftelijk is aangegeven. Indien een offerte niet wordt geaccepteerd binnen deze periode, is Follow Your Heartbeat (Marie Genicot) gerechtigd de condities en de prijs zoals in de offerte opgenomen, te wijzigen. Indien een offerte wordt aanvaard door de Deelnemer of Partner, komt een overeenkomst tot stand tussen de Deelnemer of Partner en Follow Your Heartbeat (Marie Genicot) zoals bepaald in artikel 4 van deze algemene voorwaarden. ARTIKEL 4. TOTSTANDKOMING VAN DE OVEREENKOMST 1) De Deelnemer gaat een Overeenkomst met Follow Your Heartbeat (Marie Genicot) aan door middel van de inschrijving voor een Activiteit. Inschrijving voor een Activiteit vindt plaats (i) via het inschrijfformulier op de website van www.followyourheartbeat.be of www.wimhofmethod.com, (ii) telefonisch, (iii) per e-mail of (iv) via het inschrijfformulier van de Partner. 2) Door zich in te schrijven aanvaardt de Deelnemer de algemene voorwaarden. 3) De overeenkomst komt slechts tot stand door de schriftelijke (waaronder ook een e-mailbericht wordt verstaan) aanvaarding door Follow Your Heartbeat (Marie Genicot) of wimhofmethod.com van deze inschrijving. Deze aanvaarding geldt tevens als bewijs van inschrijving. 4) De Deelnemer is niet gerechtigd de rechten uit de overeenkomst over te dragen aan een derde zonder schriftelijke toestemming van Follow Your Heartbeat (Marie Genicot). ARTIKEL 5. LEGITIMATIE De Deelnemer is verplicht om tijdens de bijeenkomsten van de Activiteit een geldig legitimatiebewijs bij zich te hebben en op verzoek van één of meer medewerkers van Follow Your Heartbeat (Marie Genicot) te tonen, indien en voor zover regelgeving daartoe noodzaakt en/of dat toestaat. ARTIKEL 6. BETALING 1) De betaling van het Inschrijvingsgeld dient plaats te vinden uiterlijk op de vervaldatum vermeld op de factuur of, in de afwezigheid daarvan, uiterlijk binnen de termijn voorzien in artikel 6.2. 2) Tenzij partijen schriftelijk anders zijn overeengekomen, zijn de facturen van Follow Your Heartbeat (Marie Genicot) betaalbaar uiterlijk vijftien (15) dagen na de datum van de factuur. 3) Behoudens andersluidende bepalingen zal de facturatie van Follow Your Heartbeat (Marie Genicot) als volgt gebeuren:

De volledige betaling van het Inschrijvingsgeld vindt plaats uiterlijk 10 werkdagen vóór de dag van aanvang van de Activiteit.
De Deelnemer dient eerst volledig het Inschrijvingsgeld te hebben voldaan alvorens hij of zij van een plaats verzekerd is.

4) Voor sommige Activiteiten zijn extra materialen nodig die niet zijn inbegrepen in het Inschrijvingsgeld en die de Deelnemer zelf dient aan te schaffen. Op de website van wimhofmethod.com staat geformuleerd of er extra materialen nodig zijn of niet. De Deelnemer verklaart zich voldoende te hebben geïnformeerd over de totale prijs van de opleiding, inclusief de eventuele bijkomende materiaalkosten of verbruiksvergoedingen. ARTIKEL 7. NIET-TIJDIGE BETALING 1) Indien de Deelnemer of Partner de overeengekomen betalingstermijn niet naleeft (zie artikel 6.1) aan de verplichtingen jegens Follow Your Heartbeat (Marie Genicot) heeft voldaan, is de Deelnemer of Partner van rechtswege in verzuim, zonder dat enige ingebrekestelling noodzakelijk is. Follow Your Heartbeat (Marie Genicot) of haar incassobureau zendt na het verstrijken van die datum een betalingsherinnering en geeft de Deelnemer of Partner de gelegenheid binnen 14 dagen, na ontvangst van deze betalingsherinnering alsnog te betalen. 2) Vanaf het moment waarop de Deelnemer of Partner in verzuim is, tot aan de dag van volledige betaling is de Deelnemer of Partner vertragingsrente verschuldigd van 1% over het verschuldigde bedrag per maand of gedeelte daarvan, onverminderd het recht van Follow Your Heartbeat (Marie Genicot) op volledige schadevergoeding op basis van de wet. 3) Alle gerechtelijke zowel als buitengerechtelijke kosten van invordering van het door de Deelnemer of Partner verschuldigde bedrag, zijn voor rekening van Deelnemer of Partner. Hieronder vallen onder meer de kosten van beslag, faillissementsaanvragen, incassokosten, alsmede de kosten van door Follow Your Heartbeat (Marie Genicot) in te schakelen advocaten, deurwaarders en andere deskundigen. Deze incassokosten bedragen maximaal: 15% over openstaande bedragen tot € 2.500,=; 10% over de daaropvolgende € 2.500,= en 5% over de volgende € 5.000,= met een minimum van € 40,=. ARTIKEL 8. PRIJZEN Alle prijzen zijn inclusief BTW. Prijzen kunnen periodiek worden gewijzigd. Eventuele kortingen zijn niet cumuleerbaar. De kortingen dienen steeds te worden verrekend bij inschrijving. Terugbetaling van kortingen is niet mogelijk. ARTIKEL 9. ANNULERING EN WIJZIGING 1) Bij annulering korter dan één maand voor aanvang van de overeengekomen startdatum van de Activiteit is de Deelnemer 20% van de overeengekomen prijs verschuldigd; 2) Bij annulering minder dan 48u voor aanvang van de Activiteit is de Deelnemer de volledige, overeengekomen prijs verschuldigd. 3) De Deelnemer dient de annulering van de Activiteit schriftelijk middels een e-mail kenbaar te maken. In eerste instantie zal door Follow Your Heartbeat worden gepoogd de Deelnemer te plaatsen bij dezelfde Activiteit die op een latere datum plaatsvindt. Indien dat niet mogelijk is, geldt de regeling zoals in dit artikel opgenomen. 4) Indien het aantal aanmeldingen voor een bepaalde Activiteit niet het minimum bereikt van 11 Deelnemers is Follow Your Heartbeat gerechtigd voorafgaand aan de aanvang van de betreffende Activiteit deze (geheel of gedeeltelijk) te annuleren of uit te stellen naar ander tijdstip of locatie. In dat geval is Follow Your Heartbeat vrij om met de Deelnemer overeen te komen dat de betreffende Activiteit op een andere datum, locatie en/of tijdstip zal worden gevolgd. In geval van annulering zal Follow Your Heartbeat het reeds door de Deelnemer betaalde bedrag voor de geannuleerde Activiteit restitueren, maar is Follow Your Heartbeat niet gehouden tot vergoeding van eventuele schade of kosten van de Deelnemer in verband met die annulering. 5) Indien de locatie van de Activiteit wijzigt en van provincie verandert, is de Deelnemer gerechtigd om de Activiteit te annuleren zonder kosten. Follow Your Heartbeat is niet gehouden tot vergoeding van eventuele schade of kosten van de Deelnemer in verband met die annulering. ARTIKEL 10. LOCATIES 1) De Activiteit vindt plaats in de door Follow Your Heartbeat aangegeven locaties/ruimtes. Follow Your Heartbeat zal deze locaties zoveel mogelijk voor de aanvang van de Activiteit aan de Deelnemer kenbaar maken. 2) Tijdens de Activiteit is de Deelnemer volledig aansprakelijk voor de door hem of haar toegebrachte schade aan al hetgeen zich in de ruimte bevindt. 3) Follow Your Heartbeat kan nooit aansprakelijk worden gesteld voor handelingen die Deelnemers stellen buiten de Activiteiten om. ARTIKEL 11. INTELLECTUELE EIGENDOMSRECHTEN 1) Het is de Deelnemer niet toegestaan auteursrechtelijk beschermd materiaal te kopiëren, reproduceren, distribueren, publiceren, wijzigen, afgeleide werken maken, verzenden of op enige andere manier exploiteren zonder toestemming van Marie Genicot - Follow Your Heartbeat. 2) Follow Your Heartbeat (Marie Genicot) behoudt de auteursrechten en alle rechten van intellectuele eigendom op de door haar gedane aanbiedingen, verstrekte ontwerpen, materiaal, afbeeldingen, tekeningen, schema’s etc. 3) De rechten op de in het voorgaande lid genoemde gegevens blijven eigendom van Follow Your Heartbeat ongeacht of aan de Deelnemer voor de vervaardiging ervan kosten in rekening zijn gebracht. Deze gegevens mogen zonder voorafgaande schriftelijke toestemming van Follow Your Heartbeat niet worden gekopieerd, gebruikt of aan derden worden getoond voor professionele doeleinden. De Deelnemer is aan Follow Your Heartbeat per overtreding van deze bepaling een boete verschuldigd van € 25.000,00 per overtreding, onverlet het recht van Follow Your Heartbeat om volledige schadevergoeding te vorderen. ARTIKEL 12. WIJZIGINGEN Follow Your Heartbeat is gerechtigd deze algemene voorwaarden te wijzigen voor geldige regels, zoals maar niet beperkt tot: de wijziging van een relevante wet, een relevante bijkomende belasting, of een bevel om te voldoen aan een rechterlijk bevel. Indien Follow Your Heartbeat deze algemene voorwaarden wijzigt voor een andere reden wordt de Deelnemer geacht de betreffende wijzigingen te hebben aanvaard indien Follow Your Heartbeat niet binnen 14 dagen na de schriftelijke mededeling van Follow Your Heartbeat dat de wijziging zal plaatsvinden een schriftelijk protest daartegen heeft ontvangen. Wijzigingen worden bekendgemaakt door persoonlijke kennisgeving en algemene publicatie op de website van Follow Your Heartbeat. ARTIKEL 13. AANSPRAKELIJKHEID 1) Follow Your Heartbeat is uitsluitend aansprakelijk voor directe schade, als gevolg van – door de Deelnemer aan te tonen – grove schuld of opzet van Follow Your Heartbeat bij de uitvoering van haar verplichtingen voortvloeiend uit de tussen partijen gesloten Overeenkomst. 2) Follow Your Heartbeat is niet verantwoordelijk voor letsels, schade, kosten, ziekte of verlies van persoonlijke bezittingen als gevolg van deelname van de Deelnemer aan een Activiteit. 3) Follow Your Heartbeat stelt alles te werk om ervoor te zorgen dat de diensten en hun potentieel voor resultaten nauwkeurig worden weergegeven. Desalniettemin is er geen garantie dat de Deelnemer dezelfde resultaten zal ervaren of de resultaten die hij/zij wenst, en hij/zij accepteert de mogelijkheid dat resultaten per persoon verschillen. Follow Your Heartbeat geeft geen garantie met betrekking tot de mate van succes van de deelnemer. De getuigenissen, beschrijvingen en voorbeelden zijn niet bedoeld om soortgelijke resultaten weer te geven of te garanderen. 4) De Deelnemer stemt ermee in ieders grenzen te respecteren en verantwoordelijk te zijn voor zijn/haar eigen grenzen. Hij/zij neemt vrijwillig deel aan de ervaring en kan op elk moment een stap achteruit zetten als de situatie voor hem/haar ongemakkelijk of overweldigend wordt. 5) Follow Your Heartbeat is niet aansprakelijk indien een Deelnemer de (veiligheids)instructies niet naleeft. 6) De aansprakelijkheid van Follow Your Heartbeat is in ieder geval beperkt tot maximaal het door de Deelnemer betaalde Inschrijvingsgeld. 7) Follow Your Heartbeat is niet aansprakelijk voor schade dat de Deelnemer niet binnen acht dagen na kennis te hebben genomen van de schadeoorzaak Follow Your Heartbeat schriftelijk voor de schade aansprakelijk stelt en haar de gelegenheid biedt een onderzoek naar de oorzaak te verrichten. 8) Deze aansprakelijkheidsregeling in de vorige leden van dit artikel geldt mede ten aanzien van derden die Follow Your Heartbeat in het kader van de uitvoering van de Activiteit inschakelt, alsmede ten aanzien van personen voor wie Follow Your Heartbeat of een dergelijke derde aansprakelijk is. ARTIKEL 14. OVERMACHT 1) Indien Follow Your Heartbeat door overmacht van blijvende of tijdelijke aard wordt verhinderd de Activiteit uit te voeren, is Follow Your Heartbeat gerechtigd zonder enige verplichting tot schadevergoeding, de overeenkomst door een daartoe strekkende mededeling geheel of gedeeltelijk te ontbinden of op te schorten, naar vrije keuze van het Follow Your Heartbeat, onverminderd het recht van Follow Your Heartbeat op betaling door de Deelnemer voor reeds door Follow Your Heartbeat verrichte prestaties, voordat sprake was van een overmachtsituatie. Follow Your Heartbeat zal de Deelnemer zo spoedig mogelijk van een situatie van overmacht op de hoogte stellen. Ingeval van opschorting zal Follow Your Heartbeat alsnog gerechtigd zijn de overeenkomst geheel of gedeeltelijk te ontbinden. 2) Onder overmacht zijn begrepen alle omstandigheden waardoor Follow Your Heartbeat tijdelijk of blijvend niet in staat is aan haar verplichtingen te voldoen, zoals onder meer de (tijdelijke) uitval wegens ziekte en/of verhindering, epidemie, brand, werkstaking of werkuitsluiting, oproer, oorlog, overheidsmaatregelen zoals ; lockdowns, invoer- of uitvoerbeperkingen, in gebreke blijven van toeleveranciers, transportproblemen, natuurrampen en voorts alle omstandigheden waarbij redelijkerwijs niet van Follow Your Heartbeat kan worden gevergd dat zij haar verplichtingen jegens de Deelnemer nakomt. ARTIKEL 15. ONTBINDING Follow Your Heartbeat heeft het recht om de overeenkomst met de Deelnemer of Partner te allen tijde, met onmiddellijke ingang, zonder rechterlijke machtiging, zonder voorafgaande ingebrekestelling en zonder betaling van enige schadevergoeding, te ontbinden in volgende gevallen: 1) Partner zijn eigen faillissement aanvraagt, failliet wordt verklaard of surséance van betaling vraagt; of 2) Deelnemer of Partner enige uit kracht der wet of van contractuele condities op haar rustende verplichtingen jegens Follow Your Heartbeat niet of niet geheel nakomt; of 3) Deelnemer of Partner of nalaat een factuurbedrag of een gedeelte daarvan binnen de daarvoor gestelde termijn te voldoen; of 4) Follow Your Heartbeat gegronde redenen heeft om eraan te twijfelen dat de Deelnemer of Partner zijn verplichtingen jegens Follow Your Heartbeat wel zal nakomen. 5) In geval van ontbinding behoudt Follow Your Heartbeat zich tevens het recht voor om een vergoeding te vorderen voor de kosten, rente en schade die Follow Your Heartbeat heeft geleden en worden alle vorderingen van Follow Your Heartbeat op de Deelnemer of Partner onmiddellijk opeisbaar. 6) Indien Follow Your Heartbeat één van haar essentiële verbintenissen niet nakomt, heeft de Deelnemer of Partner het recht om de overeenkomst zonder rechterlijke machtiging en zonder voorafgaande ingebrekestelling te ontbinden. ARTIKEL 16. UITVOERING DOOR DERDEN 1) Follow Your Heartbeat is gerechtigd derden in te schakelen voor de uitvoering van de Activiteit. 2) Alle bedingen betreffende de uitsluiting of beperking van de aansprakelijkheid van Follow Your Heartbeat en betreffende de vrijwaring van Follow Your Heartbeat voor aanspraken van derden, zijn mede bedongen ten behoeve van degenen, zowel in dienst van Follow Your Heartbeat als derden voor wier handelen dan wel nalaten Follow Your Heartbeat aansprakelijk kan zijn. ARTIKEL 17. SPLITSBAARHEID 1) Indien een (deel van een) clausule van deze algemene voorwaarden ongeldig of onafdwingbaar wordt bevonden, zullen de overige delen of clausules hierdoor niet worden aangetast. 2) Elk dergelijk deel of dergelijke clausule zal vervangen worden door een bepaling die het dichtst benadert wat in het bedoelde deel of de bedoelde clausule werd nagestreefd. ARTIKEL 18. TOEPASSELIJK RECHT/BEVOEGDE RECHTER 1) Alle overeenkomsten waarop deze algemene voorwaarden van toepassing zijn worden uitsluitend beheerst door het Belgisch recht. 2) Alle geschillen voortvloeiende uit of samenhangende met een overeenkomst zullen in eerste instantie uitsluitend worden voorgelegd aan de bevoegde rechter in het arrondissement Antwerpen, onverminderd het recht van Follow Your Heartbeat een geschil voor te leggen aan de bevoegde rechter binnen het gebied waarbinnen de Deelnemer of Partner gevestigd c.q. woonachtig is.
